Her business clients are involved in industries as diverse as building design, early childhood development, environmental compliance, finance and lending, health care, investment banking, cryptocurrency, hedge funds, higher education, hospitality, restaurant and travel, non-profit areas such as historical preservation and anti-violence, professional and consulting services, real estate and retail. Outside General Counsel
- Manage day-to-day legal matters for companies without in-house lawyers
- Serve as first point of contact for all of a company’s legal matters
- Manage use of other outside counsel or law firms
- Advise on protection of intellectual property
- Assist in management of business operations and development, and coordinate legal matters among a company’s sales, finance, and technical/manufacturing divisions
- Advise on choice of business structure and legal entity
- Assist with development of business plan
- Assist with financing, valuation, and insurance arrangements
External Contracts Counsel
- Handle day-to-day contract matters, often for companies that use a traditional large law firm for corporate or securities compliance matters, but wish to have a more affordable alternative for everyday contracts
- Negotiate and draft contracts and commercial agreements of all kinds, including:
- Partnership and ownership agreements
- Strategic alliance and joint venture agreements
- Business sales and acquisition agreements
- Employment and contractor agreements
- Property management arrangements
- Commercial leases
- Office share agreements
Due Diligence and Licensing Counsel
- For institutional clients such as banks and investment funds, advise on in-licensing matters (obtaining services and licenses for technology)
- For investors and acquirers, perform intellectual property due diligence on companies seeking funding and on potential targets
